GENERAL TERMS AND CONDITIONS OF SALE

Effective date: 30 January 2024

 

PREAMBLE

This website is published by IZYLS, a simplified joint stock company with a capital of 10,000 €, whose registered office is located at 1 Rue de Stockholm – 75008 Paris, France, registered with the Paris Companies Register under registration number 919 398 305, intra-community VAT number: FR24919398305, and represented by Mr. Anas El Maskoune, its President (the "Seller").

The site is freely accessible to all users at the following address: www.izyls.com (the "Site").

The purpose of the Site is to offer for online sale handmade decoration and furnishing products by the Seller (hereinafter referred to as the "Products").

 

ARTICLE 1 – PURPOSE - GENERAL PROVISIONS

These general terms and conditions of sale and use (hereinafter the "Terms") define the contractual rights and obligations of the Seller and of the customer (the "Customer") relating to the online sales by the Seller of the Products sold on the Site.

Together with the online order (the "Order"), these Terms constitute the binding contractual documents applicable between the Parties at the time of purchase of a Product, to the exclusion of any other conditions, oral or written, exchanged prior to the conclusion of the sales contract.

These Terms are in English, as well as all the contractual information defined on the Site.

The Terms are made available to Customers and all Internet users on the Site, where they can be consulted directly. They may also be communicated upon request by telephone, e-mail or post.

By placing a Product Order on the Site, the Customer, by ticking a box provided to this purpose, acknowledges having read and accepted these Terms. Furthermore, by placing an Order under these Terms, the Customer certifies being a consumer.

Confirmation of the Order by the Customer requires and entails acceptance to the Terms in force as of the date of the Order.

The Seller reserves the right to modify its Terms at any time. In the event of modification of the Terms, the applicable Terms shall be those in force on the date of the Order, a copy of which may be provided to the Customer upon request.

If any part of the Terms were found to be illegal, invalid or unenforceable for any reason whatsoever, the provisions in question shall be deemed unwritten, such without affecting the validity of the remaining provisions, which shall continue to apply.

The fact that the Seller does not avail itself at a given time of any of the stipulations of these Terms shall not be interpreted as a waiver of its right to do so at a later date.

 

ARTICLE 2 - PRODUCTS

2.1       Essential Characteristics

The Products offered for sale are each described in terms of their essential characteristics within the meaning of Article L.111-1 of the French Consumer Code.

The Products are described and presented as accurately as possible.

With regard to the photographs, every effort is made to reproduce as faithfully as possible the colors and other characteristics of the Products on the Site. Variations may nevertheless occur, in particular due to the technical limitations of the colour rendering of computer equipment.

It is in addition reminded that all Products offered for sale on the Site are handmade and as such the dimensions may vary slightly. Patterns, colors and shapes may equally slightly vary. The Customer must be aware of the possibility of such differences due to the handmade nature of the Products prior to his/her confirmation of any Order.

 

2.2       Availability 

The Products are offered as long as they are presented on the Site and within the limit of available stocks.

The Seller shall not be liable in the event of stock shortage or unavailability of the Products, unless it is personally responsible for the non-performance of the contract.

In addition, the Products being handmade, depending on availability or for certain Products, such may be pre-ordered only. Production time of such Products shall be specified on each Product sheet.

In the event a product is out of stock, Customers may have the option of:

  • Registering onto a waiting list to be informed when the Product becomes available;
  • Pre-order the Product: a deposit shall then be required following the terms of Article 3.

 

2.3       Compliance

The Products comply with the regulations in force relating to the health and safety of persons, fair trading and consumer protection, and in particular with the provisions of French law in force at the time they are placed on the market.

Prices and VAT where applicable relating to the Products offered for sale are specified on the online shop.

 

ARTICLE 3 – PRICES

3.1       Price

Prices are provided in Euros or British Pounds, depending on the Customer's location and country of purchase, and inclusive of all taxes where applicable, and do not include delivery costs, which are invoiced in addition.

Any change in the VAT rate or any other tax, if and where applicable, shall be applied at the time of sale, and shall be indicated by the Seller to the Customer prior to the confirmation of the Order.

Delivery costs are indicated before the Order is confirmed by the Customer. It is specified that delivery costs are free for all Orders superior to the amounts as defined on the Site.

All Orders are payable in Euros or British Pounds.

The amount payable by the Customer is indicated on the Order confirmation page.

The sale price of the Product(s) is that in force at the time the Order is validated.

Unless otherwise specified, pre-Orders shall give rise to the payment of a deposit of 30% of the total amount of the Order, payable when the Order is confirmed. The balance is paid prior to shipping of the Product(s).

Except in the event of force majeure, any cancellation of the Order by the Customer shall not entitle the Customer to a refund of this deposit.

Any cancellation of the Order by the Seller shall be refunded entirely.

 

3.2       Modifications

The Seller reserves the right to modify its prices at any time, but the Products shall be invoiced on the basis of the prices in force at the time the Order is confirmed.

 

ARTICLE 4 – OFFER

4.1       Domain

The online sales offers presented on the Site are reserved for Customers residing in the territories and countries defined on the Site, subject to mandatory local or international provisions.

The Customer is the importer of the Product(s).

 

4.2       Duration

The online sales offers presented on the Site are valid for as long as the Products appear in the electronic catalogue and subject to availability, unless otherwise indicated.

As specified above, the Products being handmade, certain Products may be pre-ordered only. Production times is specified on each product sheet.

 

4.3       Acceptance

The Customer's acceptance of the offer is validated, in accordance with the double-click procedure, by confirmation of the Order.

 

ARTICLE 5 – ORDER

5.1       Conclusion of the sales contract

In order to place an Order, the Customer, after having filled his/her virtual basket with the Products selected and the quantities desired, must click on the "order" button and provide the information relating to delivery and the method of payment.

Prior to confirming his/her Order, the Customer shall have the opportunity to verify the details of his/her Order and its total price, as well as the delivery method, and to return to the previous pages to correct any errors or amend his/her Order.

The Customer must provide a valid e-mail address and a valid delivery address and hereby acknowledges that any exchange with the Seller may take place using this address.

The Customer must also its payment method.

Confirmation of the Order implies acceptance of the Terms.

The Seller reserves the right to block or suspend the Customer's Order in the event of non-payment, incorrect address or any other problem with the Customer's account, until the problem has been resolved.

 

5.2       Modification of Order

Any modification to an Order made by the Customer after confirmation of the Order shall be subject to acceptance by the Seller.

 

5.3       Order validation

The Order shall be deemed confirmed once the payment has been accepted and received by the Seller.

 

5.4       Archiving and proof

Communications, order forms and invoices are archived on a reliable and durable medium so as to constitute a true and durable copy. These communications, Order forms and invoices may be produced as proof of the contract.

In the absence of proof to the contrary, the data recorded by the Seller constitutes proof of all transactions between the Seller and its Customers.

 

5.5       Cancellation

The Seller may cancel the Order if the Customer refuses to take delivery.

The Customer may cancel the Order by any means in the event of:

  • delivery of a Product that does not comply with the declared characteristics of the Product; or
  • delivery exceeding the time limit fixed at the time of the Order and in accordance with the terms hereof, or, in the absence of such a date, within thirty (30) days following the conclusion of the contract, after the Seller has been requested, in accordance with the same terms and conditions and without result, to make delivery within a reasonable additional time limit.

The refund shall then be made within fourteen (14) days of this denunciation.

 

ARTICLE 6 - PAYMENT

6.1       Payment

The amount due is indicated when the Order is validated. Orders shall only be validated once payment has been received and confirmed.

Payment for purchases on the Site may be made by credit card (Visa, Mastercard, American Express), PayPal, Google Pay and Apple Pay. Payment may also be made upon request by the Customer and approval of the Seller by wire transfer. The Seller in such case provides the Customer with its bank details by any means agreed by the Parties or as defined on the Site.

 

6.2       Secure payment

The Site uses a secure payment system to guarantee the security and confidentiality of Customers' personal and banking information.

The Customer guarantees the Seller that he/her has the necessary authorisations to use this method of payment and acknowledges that the information given to this effect shall constitute proof of his/her consent to the sale as well as to the payability of the sums due in respect of the Order.

In the event of refusal to authorise payment by the accredited organisations or in the event of non-payment, the Seller reserves the right to suspend or cancel the Order and its delivery.

 

6.3       Retention of title

The Products remain the exclusive material property of the Seller until full payment has been received.

The Seller also reserves the right to refuse an Order from a purchaser who has not paid in full or in part a previous Order or with whom a payment dispute is in progress.

 

6.4       Confirmation

As soon as the purchase and payment have been made by the Customer, the Seller sends to the Customer confirmation of the Order to the e-mail address specified by the Customer.

The sales contract is formed when the Customer sends confirmation of the Order.

An e-mail acknowledging receipt of the Order and payment shall be sent by the Seller as soon as possible after the Order has been validated.

The Seller shall send an invoice to the Customer by email upon confirmation of the Order.

If a Product appears to be unavailable after the Order has been confirmed, the Seller shall immediately inform the Customer and may offer the Customer a Product of equivalent quality and price.

Failing this, and in any event in the event that the Customer does not agree, the Order for the unavailable Product(s) shall be automatically cancelled and the Customer shall be refunded.

 

ARTICLE 7 – DELIVERY  

7.1       Definition

Delivery means the transfer of physical possession of the Product to the Customer or the recipient of the Order.

Delivery costs shall be invoiced to the Customer in accordance with the current delivery tariff, as communicated at the time the Order is placed.

Depending on the place of delivery and applicable regulations, Orders placed on the Site may be subject to possible taxes and customs duties which are imposed when the Product(s) reaches its destination.

These customs duties and any taxes relating to the delivery of a Product are payable by the Customer and are the Customer's responsibility. The Seller is not obliged to verify and inform its Customers of the customs duties and taxes applicable. The Customer may be contacted by the carrier to pay these charges prior to the delivery.

 

7.2       Delivery time

The Products ordered are delivered within the timeframe defined at the time of the Order. Delivery times depend on the nature of the Products ordered and the carriers.

 

7.3       Delay in delivery

If the Product ordered is not delivered on the date or at the end of the period mentioned at the time of the Order or within the time period provided by the Seller in the event of pre-Orders following confirmation of the corresponding Order, the Customer may, after having unsuccessfully requested the Seller to fulfil its obligation to deliver within a reasonable additional period, cancel the contract by any means.

The refund shall then be made within fourteen (14) days of this denunciation.

The Seller shall not be held responsible for any error or delay in delivery in the event of incorrect information being provided by the Customer.

 

7.4       Place of delivery

The Products are delivered to the address indicated by the Customer when placing the Order.

 

7.5       Delivery terms and complaints

Delivery is made by carrier to the address indicated by the Customer.

The Customer must ensure that his/her Order complies with the terms of delivery.

It is the Customer's responsibility to check the condition of the Product delivered in the presence of the carrier and, in the event of damage or missing items, to express reservations on the delivery note or the transport receipt, and, if necessary, to refuse the Product and notify the Seller.

Articles L.216-1 et seq. of the French Consumer Code provide the following (the following are free translations):

 

Article L216-1 of the French Consumer Code:

"The trader shall deliver the goods or provide the service on the date or within the period indicated to the consumer, in accordance with 3° of Article L. 111-1, unless the parties agree otherwise.

For the purposes of this Title, delivery of a good means the transfer to the consumer of physical possession or control of the good. [...].

In the absence of any indication or agreement as to the time of delivery or provision, the trader shall deliver the goods or provide the service without undue delay and no later than thirty days after the conclusion of the contract. [...]"

(« Le professionnel délivre le bien ou fournit le service à la date ou dans le délai indiqué au consommateur, conformément au 3° de l'article L. 111-1, sauf si les parties en conviennent autrement.

Pour l'application du présent titre, on entend par délivrance d'un bien, le transfert au consommateur de la possession physique ou du contrôle du bien. […].

A défaut d'indication ou d'accord quant à la date de délivrance ou de fourniture, le professionnel délivre le bien ou fournit le service sans retard injustifié et au plus tard trente jours après la conclusion du contrat. […] »)

 

Article L216-2 of the French Consumer Code:

"All risks of loss of or damage to the goods shall pass to the consumer at the time when the consumer or a third party designated by the consumer takes physical possession of the goods.”

(« Tout risque de perte ou d'endommagement du bien est transféré au consommateur au moment où ce dernier ou un tiers désigné par lui prend physiquement possession de ces biens. »)

 

Article L216-3 of the French Consumer Code:

"Where the consumer entrusts the goods to a carrier other than that proposed by the trader, the risk of loss of or damage to the goods shall pass to the consumer when the goods are handed over to the carrier.

(« Lorsque le consommateur confie le bien à un transporteur autre que celui proposé par le professionnel, le risque de perte ou d'endommagement du bien est transféré au consommateur lors de la remise du bien au transporteur. »)

 

Article L216-5 of the French Consumer Code:

"The trader shall indicate in writing to the consumer at the time of purchase, where applicable, the cost of delivery and of putting the goods into service. A written document shall be left with the consumer when he takes possession of the goods, mentioning the possibility for the consumer to express reservations, particularly in the event of a defect in the goods or failure to provide the instructions for use or installation instructions.

The absence of reservations formulated by the consumer upon receipt of the goods does not exempt the trader from the guarantee of conformity of the goods that he owes to the consumer.”

(« Le professionnel indique par écrit au consommateur lors de son achat, s'il y a lieu, le coût de la livraison et de mise en service du bien. Un écrit est laissé au consommateur lors de l'entrée en possession du bien, mentionnant la possibilité pour le consommateur de formuler des réserves, notamment en cas de défaut du bien ou de défaut de remise de la notice d'emploi ou des instructions d'installation.

L'absence de réserves formulées par le consommateur lors de la réception du bien n'exonère pas le professionnel de la garantie de conformité du bien qu'il doit au consommateur. »)

 

Article L216-6 of the French Consumer Code:

 "I.- In the event of a breach by the trader of his obligation to deliver the goods or provide the service under the conditions laid down in article L. 216-1, the consumer may :

 1° To notify the trader of the suspension of payment of all or part of the price until the trader complies, in accordance with articles 1219 and 1220 of the Civil Code;

 2° Rescind the contract if, after having given formal notice to the trader to deliver the goods or provide the service within a reasonable additional period, the trader has not complied within this period.

 The contract shall be deemed to have been terminated on receipt by the trader of the letter or writing informing him of such termination, unless the trader has performed in the meantime.

 

II - However, the consumer may cancel the contract immediately:

 1° Where the trader refuses to deliver the goods or provide the service or where it is clear that he shall not deliver the goods or provide the service;

 2° Where the trader fails to fulfil his obligation to deliver the goods or provide the service on the date or on expiry of the period provided for in article L. 216-1 and this date or period constitutes an essential condition of the contract for the consumer. This essential condition results from the circumstances surrounding the conclusion of the contract or from an express request made by the consumer before the conclusion of the contract.

 

The provisions of this article are without prejudice to the award of damages.”

 (« I.- En cas de manquement du professionnel à son obligation de délivrance du bien ou de fourniture du service dans les conditions prévues à l'article L. 216-1, le consommateur peut :

 1° Notifier au professionnel la suspension du paiement de tout ou partie du prix jusqu'à ce que le professionnel s'exécute, dans les conditions des articles 1219 et 1220 du code civil ;

 2° Résoudre le contrat si, après avoir mis en demeure le professionnel d'effectuer la délivrance ou de fournir le service dans un délai supplémentaire raisonnable, ce dernier ne s'est pas exécuté dans ce délai.

Le contrat est considéré comme résolu à la réception par le professionnel de la lettre ou de l'écrit l'informant de cette résolution, à moins que le professionnel ne se soit exécuté entre-temps.

 

II.- Le consommateur peut toutefois immédiatement résoudre le contrat :

1° Lorsque le professionnel refuse de délivrer le bien ou de fournir le service ou lorsqu'il est manifeste qu'il ne livrera pas le bien ou ne fournira pas le service ;

2° Lorsque le professionnel n'exécute pas son obligation de délivrance du bien ou de fourniture du service à la date ou à l'expiration du délai prévu à l'article L. 216-1 et que cette date ou ce délai constitue pour le consommateur une condition essentielle du contrat. Cette condition essentielle résulte des circonstances qui entourent la conclusion du contrat ou d'une demande expresse du consommateur avant la conclusion du contrat.

Les dispositions du présent article sont sans préjudice de l'allocation de dommages et intérêts. »)

 

Article L216-7 of the French Consumer Code:

"Where the contract is terminated under the conditions set out in article L. 216-6, the trader shall reimburse the consumer for all sums paid, at the latest within fourteen days of the date on which the contract was terminated.”

(« Lorsque le contrat est résolu dans les conditions prévues à l'article L. 216-6, le professionnel rembourse le consommateur de la totalité des sommes versées, au plus tard dans les quatorze jours suivant la date à laquelle le contrat a été dénoncé. »)

In addition, Article L.224-65 of the French Consumer Code states:

"When the consumer personally takes delivery of the items transported and when the haulage contractor does not provide evidence that he was given the opportunity to effectively check that they were in good condition, the time period referred to in article L. 133-3 of the French Commercial Code, which extinguishes any action against the haulage contractor, is extended to ten days.”

(« Lorsque le consommateur prend personnellement livraison des objets transportés et lorsque le voiturier ne justifie pas lui avoir laissé la possibilité de vérifier effectivement leur bon état, le délai mentionné à l’article L. 133-3 du code de commerce qui éteint toute action contre le voiturier est porté à dix jours. »)

Where applicable, the Customer must inform the Seller of any reservations in the following manner:

 

7.6       Conformity of Products

If the goods do not conform to the Order, the Customer must send a complaint to the Seller in view of replacement of the item or, where appropriate, the cancellation of the sale.

As defined above, it is reminded that all Products offered for sale on the Site are handmade and as such the dimensions may vary slightly. Patterns, colors and shapes may equally slightly vary. The Customer must be aware of the possibility of such differences due to the handmade nature of the Products prior to his/her confirmation of any Order. Such variations shall not be considered as a non-conformity of the Product.

 

7.7       Default of delivery

Failure to deliver in full shall automatically terminate the sales contract.

 

7.8       Transfer of ownership

Without prejudice to the terms of article 7.5 hereof, the Products remain the property of the Seller until full payment of the price.

 

7.9       Consequences of resolution

In accordance with Articles L.216-7 and L. 241-4 of the French Consumer Code, the trader is obliged to reimburse the sums due no later than fourteen (14) days following the date on which the contract was terminated and if this is not the case, the sums due are automatically increased :

  • 10% if the refund is made no later than fourteen (14) days after the expiry date;
  • 20% if the delay is between 15 and 30 days, and
  • by 50% at a later date.

 

ARTICLE 8 – LEGAL WARRANTIES

Consumers have a period of two years from the date of delivery of the goods in which to invoke the legal warranty of conformity in the event of a lack of conformity. During this period, the consumer is only required to establish the existence of the lack of conformity and not the date of its appearance.

 

Where the contract for the sale of the goods provides for the supply of digital content or a digital service on a continuous basis for a period of more than two years, the legal warranty applies to this digital content or digital service throughout the period of supply. During this period, the consumer is only required to establish the existence of the lack of conformity affecting the digital content or digital service and not the date of its appearance.

 

The legal warranty of conformity implies an obligation on the part of the professional, where applicable, to provide all updates necessary to maintain the conformity of the goods.

 

The legal warranty of conformity gives the consumer the right to repair or replace the goods within thirty days of his request, free of charge and without any major inconvenience to him/her.

 

If the goods are repaired under the legal conformity warranty, the consumer benefits from a six-month extension to the initial warranty.

 

If the consumer asks for the good to be repaired, but the seller requires it to be replaced, the legal warranty of conformity is renewed for a period of two years from the date on which the good is replaced.

 

The consumer may obtain a reduction in the purchase price by keeping the goods or terminate the contract by obtaining a full refund in exchange for the return of the goods, if :

1° The trader refuses to repair or replace the goods ;

2° The goods are repaired or replaced after a period of thirty days;

3° The repair or replacement of the goods causes major inconvenience to the consumer, in particular where the consumer definitively bears the cost of taking back or removing the non-conforming goods, or if he bears the cost of installing the repaired or replacement goods;

4° The non-conformity of the property persists despite the seller's unsuccessful attempt to bring it into conformity.

 

The consumer is also entitled to a reduction in the price of the goods or to rescission of the contract where the lack of conformity is so serious as to justify immediate reduction in the price or rescission of the contract. In such cases, the consumer is not obliged to ask for the goods to be repaired or replaced beforehand.

 

Consumers do not have the right to rescind the sale if the lack of conformity is minor.

 

Any period during which the goods are immobilised with a view to their repair or replacement suspends the warranty that was in force until the delivery of the repaired goods.

 

The rights mentioned above result from the application of articles L. 217-1 to L. 217-32 of the French Consumer Code.

 

A seller who obstructs the implementation of the legal warranty of conformity in bad faith is liable to a civil fine of up to €300,000, which may be increased to 10% of average annual sales (article L. 241-5 of the French Consumer Code).

 

The consumer also benefits from the legal warranty against hidden defects in application of articles 1641 to 1649 of the French Civil Code, for a period of two years from the discovery of the defect. This warranty entitles the consumer to a price reduction if the goods are kept, or to a full refund if the goods are returned.

 

 

Provisions relating to legal warranties of conformity defined in the French Consumer Code and warranty against hidden defects defined in the French Civil Code are reproduced in Schedule 2.

 

ARTICLE 9 - RIGHT OF WITHDRAWAL AND WITHDRAWAL PERIOD

9.1       Conditions and deadline for exercising the statutory right of withdrawal

Subject to mandatory provisions which may apply, it is reminded that in accordance with the provisions of articles L.221-5 and L. 221-18 et seq. of the French Consumer Code, the Customer has a right of withdrawal which may be exercised following the Order and in any event within fourteen (14) days of receipt of the goods by the Customer or by any third party designated by the Customer.

 

9.2       Goods excluded from the statutory right of withdrawal

In accordance with Article L.221-28 of the French Consumer Code, the right of withdrawal cannot be exercised in particular for contracts:

  • of supply of goods or services whose price depends on fluctuations in the financial market beyond the control of the trader and which may occur during the withdrawal period;
  • of supply of goods made to the consumer's specifications or clearly personalised;
  • of supply of goods which have been unsealed by the consumer after delivery and which cannot be returned for reasons of hygiene or health protection;

 

9.3       Consequences of exercising the legal right of withdrawal

If the goods are eligible for the legal right of withdrawal, Customers exercising their right of withdrawal under the conditions set out in this article may obtain a refund for the goods returned and for the delivery costs of the Order.

 

9.4       Expenses

In accordance with Article L.221-23 of the French Consumer Code (free translation):

"The consumer shall return or hand over the goods to the trader or to a person appointed by the trader, without undue delay and no later than fourteen days after communicating his decision to withdraw in accordance with Article L. 221-21, unless the trader offers to collect the goods itself.


The consumer shall only bear the direct costs of returning the goods, unless the trader agrees to bear them or has failed to inform the consumer that these costs are to be borne by him. However, for off-premises contracts, where the goods are delivered to the consumer's domicile when the contract is concluded, the trader shall collect the goods at its own expense if they cannot be returned normally by post due to their nature.

The consumer may only be held liable in the event of depreciation of the goods resulting from handling other than that necessary to establish the nature, characteristics and proper functioning of these goods, provided that the trader has informed the consumer of his right of withdrawal, in accordance with 7° of Article L. 221-5.”

(« Le consommateur renvoie ou restitue les biens au professionnel ou à une personne désignée par ce dernier, sans retard excessif et, au plus tard, dans les quatorze jours suivant la communication de sa décision de se rétracter conformément à l'article L. 221-21, à moins que le professionnel ne propose de récupérer lui-même ces biens.

Le consommateur ne supporte que les coûts directs de renvoi des biens, sauf si le professionnel accepte de les prendre à sa charge ou s'il a omis d'informer le consommateur que ces coûts sont à sa charge. Néanmoins, pour les contrats conclus hors établissement, lorsque les biens sont livrés au domicile du consommateur au moment de la conclusion du contrat, le professionnel récupère les biens à ses frais s'ils ne peuvent pas être renvoyés normalement par voie postale en raison de leur nature.

La responsabilité du consommateur ne peut être engagée qu'en cas de dépréciation des biens résultant de manipulations autres que celles nécessaires pour établir la nature, les caractéristiques et le bon fonctionnement de ces biens, sous réserve que le professionnel ait informé le consommateur de son droit de rétractation, conformément au 7° de l'article L. 221-5. »)

 

  • How to exercise the right of withdrawal

The Customer must inform the Seller of his/her wish to exercise his/her right of withdrawal within fourteen (14) days following receipt of the Product, by notifying the Seller of his/her decision to withdraw by means of an unambiguous statement expressing his/her wish to withdraw. The trader may also allow the consumer to fill in and submit the form or declaration provided for in the first paragraph online on his website. In this case, the trader shall send the consumer an acknowledgement of receipt of the withdrawal on a durable medium without delay.

In this case, the Customer may in particular use the model retraction form attached to these Terms and send it to:

The Customer must return the Products concerned by post within fourteen (14) days of notification of withdrawal.

If the Products are eligible to the legal right of withdrawal, Customers exercising their right of withdrawal under the conditions set out in this article shall be entitled to a refund for the Products returned and for the delivery costs of the Order.

In accordance with Article L.221-24 of the French Consumer Code, the Seller shall reimburse the Customer for all sums paid, including delivery costs, without undue delay and at the latest within fourteen (14) days of the Products being recovered or of proof being provided that the Products have been dispatched, whichever is the earlier. It is specified that return costs are borne by the Customer.

In accordance with article L.242-4 of the Consumer Code, where the trader has not reimbursed the sums paid by the consumer, the sums due are automatically increased as follows:

  • of the French legal interest rate if reimbursement is made no later than 10 days after expiry of the 14-day period stated above,
  • of 5% if the delay is between 10 and 20 days,
  • of 10% if the delay is between 20 and 30 days,
  • of 20% if the delay is between 30 and 60 days,
  • of 50% between sixty and ninety days, and
  • of an additional five points for each month of delay, up to the price of the product, then the French legal interest rate.

The Seller shall make this refund using the same means of payment as that used by the Customer for the initial transaction, unless the Customer expressly agrees to use another means of payment and insofar as the refund does not incur any costs for the Customer.

The Seller is not obliged to reimburse additional costs if the Customer has expressly chosen a more expensive delivery method than the standard delivery method offered by the Seller.

 

9.6       General provisions applicable to the return of Products

Customers wishing to exercise his/her legal right of withdrawal by returning a Product must send the Product(s) to the following address:

9.7       Model withdrawal form

The model withdrawal form is attached in Schedule 1.

 

ARTICLE 10 - USE OF THE SITE

10.1     Access to the Site

Subject to compliance with the terms and conditions of these Terms, any user may access the Site freely and without charge.

 

10.2     Creation and use of a personal account

The Customer may create a personal account on the Site. It is specified the account creation is not mandatory to make an Order.

When registering, the user undertakes to provide accurate, sincere and up-to-date information.

In order to create an account, the user must provide all the compulsory information required in the form provided, which list may be modified by the Seller to ensure the best operation of the Site. Failure by the Customer to provide any mandatory information will prevent the creation of his/her personal account.

In particular, the Customer must provide the information required for identification, including surname, first name, postal address, e-mail address and the creation of a password.

The Customer undertakes to provide only accurate information and to update it regularly.

The user must therefore provide a valid e-mail address, to which the Site will send confirmation of registration for its services. An e-mail address may not be used more than once to register for services.

All communications sent by the Seller and its partners are therefore deemed to have been received and read by the user. The user therefore undertakes to regularly check messages received at this e-mail address and to reply within a reasonable time if necessary.

Only one registration to the Site's services is permitted per individual.

The Customer undertakes to define a strong password for access to his/her account and to guarantee its confidentiality. If the confidentiality of the Customer's password is compromised, the Customer undertakes to inform the Seller as soon as possible so that a new password can be issued. The Customer remains responsible for the use of his/her personal account until he/she has informed the Seller of the risk of confidentiality being compromised.

Access to the Customer's personal account is strictly personal and non-transferable. In this respect, any use of the Customer's login and password on the Site implies presumption of the Customer's connection to the Site. The Customer is therefore solely responsible for the use of his/her login and password, for any information transmitted via the Site and for any use of the Site.

The Seller reserves the right to unilaterally suspend or close a Customer's personal account without notice or compensation if the Customer provides erroneous, misleading or fraudulent information.

Any Customer retains the possibility of deleting his/her account at any time in accordance with the terms and conditions defined by the Seller on the Site or by simple request sent in accordance with the provisions herein.

 

ARTICLE 11 – LIABILITY

11.1     Capacity

Prior to placing an Order, the Customer declares that he/she has full legal capacity to enter into a commitment under these Terms. The Seller may not under any circumstances be required to verify the legal capacity of its visitors and Customers.

 

11.2     Conformity of the sold goods

The Products offered comply with applicable legislation. The Seller shall not be held liable in the event of failure to comply with the legislation of the Customer's country, it being the Customer's responsibility to verify that the Product is not prohibited for sale in his/her country.

 

11.3     Information and description of Products

The Seller undertakes a duty of fair information and takes the utmost care to ensure that the information, Product descriptions and data available on the Site are as accurate as possible and are updated regularly.

 

11.4     Liability

11.4.1  The Seller is not liable:

  • in the event of technical or IT problems or failures, or of the Site's compatibility with any hardware or software whatsoever;
  • direct or indirect, material or immaterial, foreseeable or unforeseeable damage resulting from the use or difficulties in using the Site or its services;
  • the intrinsic characteristics of the Internet, in particular those relating to the unreliability and lack of security of information circulating on it;
  • illicit content or activities using the Site.

The user is responsible for:

  • the protection of his/her equipment and data;
  • the use made of the Site.

 The Seller may not be held responsible for:

  • interruptions or delays to the Site due to maintenance work, technical breakdowns, force majeure, third parties or any other circumstances beyond its control;
  • the Customer's temporary inability to access the Site, due to events beyond his control, such as: computer breakdowns, interruptions in the telephone network, the Internet network, failure of the equipment used to receive the said Internet network, etc.

The Seller does not guarantee that the Site shall be available continuously, without temporary interruption, without suspension or without error, and cannot be held liable in this respect for any reason whatsoever.

11.4.2  The Seller may not be held liable in the event of failure to perform or improper performance of the contract due either to an act of the Customer, or to the insurmountable and unforeseeable act of a third party to the contract, or to force majeure.

Without limiting the scope of the other stipulations of the Terms, the Seller may only be held liable in the event of proven fault attributable to it. In any event, it shall be limited to direct damage only.

 

11.5     Use of the Site

The Seller reserves the right to modify or suspend all or part of the operation of the Site at any time and without notice.

For the proper management of the Site, the Seller may at any time:

  • suspend, interrupt or limit access to all or part of the Site, restrict access to the Site, or to certain parts of the Site, to a specific category of Internet user;
  • delete any information that could disrupt its operation or contravene national or international laws;
  • suspend the Site in order to carry out updates.

 

ARTICLE 12 – INTELLECTUAL PROPERTY

12.1     Intellectual property of the Seller

Any redistribution, reproduction or commercialisation of all or part of the content of the Site, in any form whatsoever, is strictly prohibited.

The elements reproduced on the Site, and in particular trademark names, logo, drawings, graphics, samples, brochures, documents and other similar materials, photographs, visuals, texts, drawings and images or others, databases, programmes, software, videos, without this list being limitative, which are the exclusive property of the Seller, are protected by intellectual property rights of which the Seller is the sole owner.

Any trademark(s), logo(s) and/or any other distinctive sign(s), company name(s), sign(s), drawings, models, samples, brochures, materials, prototypes, documents, projects, memos, plans, studies, descriptions, consultations, opinions, conclusions or other procedural acts, methods, processes, techniques, developments, designs, techniques and know-how, source and computer codes, software documents, mechanisms and electronic systems, and any other similar elements, without this list being limitative, are the exclusive property of the Seller.

Any trademarks, logos, company name and/or any other distinctive sign may not be used by the Customer under any circumstances, unless a special dispensation has been granted.

It is specified the Seller is in particular holder of the following trademarks :

  • European word trademark “Izyls”, registered with the EUIPO under number 018841406, and such for classes 11, 20, 21, 24 and 27;
  • Intellectual Property Office “Izyls”, registered with the UKIPO under number UK00003882803, and such for classes 11, 21, 24 and 27;

These Terms shall not have the effect of granting any right whatsoever to the Customer in respect of the Seller's intellectual property rights.

The Customer undertakes not to reproduce, represent, distribute, adapt and/or modify, in any way or for any reason whatsoever, even partially, these elements without the Seller's express prior written authorisation. Any use without the Seller's prior written authorisation shall render offenders liable to prosecution.

The Customer shall also refrain from distributing, marketing, exploiting and, more generally, making available or granting the use of the aforementioned elements to third parties without the Seller's express prior written consent.

Any unauthorised use of the Site or of any of the elements it contains shall be considered to constitute an infringement and shall be prosecuted under the provisions of articles L.335-2 et seq. of the French Intellectual Property Code and/or any other applicable laws, as the case may be.

In general, the authorisation to use provided for herein shall not entail any assignment of rights or guarantee, whatever the title, for the benefit of the Customer or any third party. For the avoidance of doubt, the rights granted hereunder do not constitute, under any applicable law, an assignment of rights, and may not be assigned.

 

12.2     Intellectual property attached to the Products

The Seller certifies that it either holds all the intellectual property rights and/or the necessary authorisations relating to the works reproduced in the Products in view of their sale, or that these creations are free of rights.

The Seller certifies, where applicable, that the said works are original and constitute works of the mind within the meaning of the French Intellectual Property Code, that it is the author and/or that it has the power and all the rights and authorisations to sell the Products comprising the works reproduced.

The Seller guarantees the Customer that none of the content of the Products infringes current legislation and/or the rights of third parties, in particular legislation relating to counterfeiting, defamation, breach of public decency or privacy.

The Order and the sale do not imply any transfer of the intellectual property rights of the works reproduced on the Products, where applicable, or any guarantee whatsoever for the benefit of the Customer or any third party.

For the avoidance of doubt, any transfer of intellectual property rights must be the subject of a separate specific contract between the Seller and the Customer.

The Customer undertakes to make use in accordance with the provisions of the Intellectual Property Code and in particular to respect the moral rights as set out in article L.121-1 of the French Intellectual Property Code and/or all other applicable laws.

 

ARTICLE 13 – PERSONAL DATA  

The information relating to the Order, including certain personal data (the "Personal Data") of the Customer is subject to automated data processing, and in compliance with the laws and regulations in force relating to the protection of personal data (the "Applicable Regulations"), and in particular, as of the date hereof, the provisions of Regulation 2016/679 of 27 April 2016 on the protection of individuals with regard to the processing of personal data and on the free movement of such data (the "RGPD Regulation"), the provisions of French law No 78-17 of 6 February 1978 said “Informatique et Libertés” as amended (the “LIL”), as well as all other regulations relating to Personal Data where applicable.

The Seller's Privacy Policy is accessible on the Site.

It is also specified that the Customer may also register free of charge on the telephone anti-solicitation list at www.bloctel.gouv.fr.

 

ARTICLE 14 – FORCE MAJEURE

The Parties shall be exonerated from their obligations in the event that a circumstance constituting force majeure as defined by the law and the courts prevents their performance. The obligations of the Parties shall then be suspended.

The Party invoking such a circumstance must notify the other Party immediately, as soon as it occurs or disappears.

The following are considered to be cases of force majeure: all irresistible and unforeseeable events or circumstances that are unavoidable and that cannot be prevented by the latter, despite all reasonable efforts, defined as such by French law and/or any other applicable law, and in particular, the blocking of means of transport or supplies, epidemics, pandemics, states of emergency, war, attacks, terrorism, earthquakes, fires, storms, floods, lightning, and the stoppage of telecommunications networks.

If the case of force majeure lasts longer than one month, the sales contract may be terminated.

 

ARTICLE 15 – APPLICABLE LAW - MEDIATION - DISPUTES

15.1     Applicable law

Subject to any applicable mandatory rules, these Terms are governed by French law. The Vienna Convention on contracts for the international sale of goods does not apply.

 

15.2     Mediation

In the event of a dispute between the professional and the consumer, they shall endeavor to find an amicable solution.

If no amicable agreement can be reached, the consumer may refer the matter free of charge to the consumer mediator to which the professional belongs, i.e. the Association of European Mediators (AME CONSO), within one year of the written complaint sent to the professional.

Referral to the Consumer Mediator must be made:

  • either by completing the appropriate form on the AME CONSO website: mediationconso-ame.com.
  • or by post to AME CONSO, 197 Boulevard Saint-Germain - 75007 Paris, France.

The Customer remains free to accept or refuse recourse to mediation and, in the event of recourse to mediation, the Parties are free to accept or refuse the solution proposed by the mediator.

15.3     In addition, in accordance with Article 14 of Regulation (EU) No. 524/2013, the European Commission has set up a dispute resolution platform to receive consumer complaints relating to an online purchase. This platform is accessible. This platform can be accessed at the following link: https://webgate.ec.europa.eu/odr/.

 

15.4     Disputes

In the event of a dispute relating to the formation, performance, interpretation, validity and termination these Terms and of the sales contract governed by them with a Customer residing in a Member State of the European Union, the Customer shall have the option to bring suit before the court of his/her own place of residence, or before the courts of the Member State in which the Seller is domiciled. For its part, the Seller may only bring suit against the Customer before the courts of the Member State in which the Customer is domiciled.

The court exercising territorial jurisdiction over the place of the Seller’s registered office shall have exclusive jurisdiction over any dispute with a Customer residing outside the European Union, subject to the mandatory provisions of the law of the country in which the Customer resides.

LEGAL WARRANTIES

1          Legal warranties of conformity

The French Consumer Code provides the following in terms of the legal warranty of conformity (the following constitute free translations):

 

Article L.217-3 of the French Consumer Code:

"The trader shall deliver goods that comply with the contract and the criteria set out in Article L.217-5.

It shall be liable for any lack of conformity existing at the time of delivery of the goods, within the meaning of article L. 216-1, which becomes apparent within two years of delivery.

 In the case of a contract for the sale of goods containing digital elements:

1° Where the contract provides for the continuous supply of digital content or a digital service for a period of two years or less, or where the contract does not specify the duration of the supply, the trader is liable for any lack of conformity of the digital content or digital service which becomes apparent within two years of delivery of the goods;

2° Where the contract provides for the continuous supply of digital content or a digital service for a period of more than two years, the trader shall be liable for any lack of conformity of the digital content or digital service that appears during the period in which it is supplied under the contract.

For such goods, the applicable time limit does not deprive the consumer of his right to updates in accordance with the provisions of article L. 217-19.

The trader shall also be liable, within the same time period, for any lack of conformity resulting from the packaging, the assembly instructions or the installation, where the latter was his responsibility under the contract or was carried out under his responsibility, or where the incorrect installation, carried out by the consumer as provided for in the contract, is due to shortcomings or errors in the installation instructions supplied by the trader.

This warranty period applies without prejudice to articles 2224 et seq. of the Civil Code. The starting point for the limitation period for the consumer's action is the day on which the consumer becomes aware of the lack of conformity.”

Le vendeur répond également, durant les mêmes délais, des défauts de conformité résultant de l'emballage, des instructions de montage, ou de l'installation lorsque celle-ci a été mise à sa charge par le contrat ou a été réalisée sous sa responsabilité, ou encore lorsque l'installation incorrecte, effectuée par le consommateur comme prévu au contrat, est due à des lacunes ou erreurs dans les instructions d'installation fournies par le vendeur.

Ce délai de garantie s'applique sans préjudice des articles 2224 et suivants du code civil. Le point de départ de la prescription de l'action du consommateur est le jour de la connaissance par ce dernier du défaut de conformité. »)

 

Article L217-4 of the French Consumer Code:

"The goods conform to the contract if they meet the following criteria, where applicable:

1° It corresponds to the description, type, quantity and quality, in particular as regards functionality, compatibility, interoperability or any other characteristic provided for in the contract;

2° It is fit for any special purpose intended by the consumer, made known to the trader at the latest at the time of the conclusion of the contract and accepted by the latter;

3° It is delivered with all accessories and installation instructions, which must be supplied in accordance with the contract;

4° It is updated in accordance with the contract.”

 

 Le bien est conforme au contrat s'il répond notamment, le cas échéant, aux critères suivants :

1° Il correspond à la description, au type, à la quantité et à la qualité, notamment en ce qui concerne la fonctionnalité, la compatibilité, l'interopérabilité, ou toute autre caractéristique prévue au contrat ;

Article L217-5 of the French Consumer Code:

"I.- In addition to the criteria of conformity with the contract, the good is in conformity if it meets the following criteria:

1° It is fit for the use normally expected of goods of the same type, taking into account, where appropriate, any provisions of European Union law and national law as well as any technical standards or, in the absence of such technical standards, specific codes of conduct applicable to the sector concerned;

2° Where applicable, it possesses the qualities which the trader presented to the consumer in the form of a sample or model before the conclusion of the contract;

3° Where applicable, the digital elements it contains are provided in the most recent version available at the time the contract is concluded, unless the parties agree otherwise;

4° Where applicable, it is supplied with all the accessories, including packaging, and installation instructions that the consumer may legitimately expect;

5° Where applicable, it is supplied with updates that the consumer may legitimately expect, in accordance with the provisions of Article L. 217-19;

6° It corresponds to the quantity, quality and other characteristics, including durability, functionality, compatibility and safety, that the consumer can legitimately expect for goods of the same type, taking into account the nature of the goods as well as public statements made by the trader, by any person upstream in the chain of transactions, or by a person acting on their behalf, including in advertising or on labelling.

 

II - However, the trader is not bound by any of the public declarations mentioned in the previous paragraph if he can demonstrate:

1° That it did not know them and was not legitimately in a position to know them;

2° That at the time the contract was entered into, the public declarations had been corrected in conditions comparable to the initial declarations; or

3° That the public statements could not have influenced the purchase decision.

III - The consumer may not contest the conformity of the goods by invoking a defect relating to one or more specific characteristics of the goods which he was specifically informed deviated from the conformity criteria set out in this article, a deviation to which he expressly and separately agreed when the contract was concluded.”

(“I.- En plus des critères de conformité au contrat, le bien est conforme s'il répond aux critères suivants :

1° Il est propre à l'usage habituellement attendu d'un bien de même type, compte tenu, s'il y a lieu, de toute disposition du droit de l'Union européenne et du droit national ainsi que de toutes les normes techniques ou, en l'absence de telles normes techniques, des codes de conduite spécifiques applicables au secteur concerné ;

6° Il correspond à la quantité, à la qualité et aux autres caractéristiques, y compris en termes de durabilité, de fonctionnalité, de compatibilité et de sécurité, que le consommateur peut légitimement attendre pour des biens de même type, eu égard à la nature du bien ainsi qu'aux déclarations publiques faites par le vendeur, par toute personne en amont dans la chaîne de transactions, ou par une personne agissant pour leur compte, y compris dans la publicité ou sur l'étiquetage.

 

II.- Toutefois, le vendeur n'est pas tenu par toutes déclarations publiques mentionnées à l'alinéa qui précède s'il démontre :

1° Qu'il ne les connaissait pas et n'était légitimement pas en mesure de les connaître ;

2° Qu'au moment de la conclusion du contrat, les déclarations publiques avaient été rectifiées dans des conditions comparables aux déclarations initiales ; ou

3° Que les déclarations publiques n'ont pas pu avoir d'influence sur la décision d'achat.

III.- Le consommateur ne peut contester la conformité en invoquant un défaut concernant une ou plusieurs caractéristiques particulières du bien, dont il a été spécifiquement informé qu'elles s'écartaient des critères de conformité énoncés au présent article, écart auquel il a expressément et séparément consenti lors de la conclusion du contrat.”)

 

Article L217-6 of the French Consumer Code:

"Where, in the course of the contract, personal data is processed by the professional, a failure on his part to comply with his obligations under Regulation (EU) 2016/679 of 27 April 2016 and Law No. 78-17 of 6 January 1978 on data processing, data files and individual liberties, where such failure results in non-compliance with one or more of the compliance criteria set out in this section, shall be treated as a failure to comply, without prejudice to the other remedies provided for by these texts."

Article L217-7 paragraph 1er of the French Consumer Code:

"Defects in conformity that appear within twenty-four months of delivery of the goods, including goods containing digital elements, shall, in the absence of proof to the contrary, be presumed to have existed at the time of delivery, unless this presumption is incompatible with the nature of the goods or of the defect claimed.”

Article L217-8 of the French Consumer Code:

"In the event of a lack of conformity, the consumer has the right to have the goods repaired or replaced or, failing that, to have the price reduced or the contract rescinded, under the conditions set out in this sub-section.

The consumer also has the right to suspend payment of all or part of the price or delivery of the benefit provided for in the contract until the trader has fulfilled its obligations under this chapter, in accordance with articles 1219 and 1220 of the Civil Code.

The provisions of this chapter are without prejudice to the award of damages.”

Article L217-9 of the French Consumer Code:

"The consumer is entitled to demand that the goods comply with the criteria set out in sub-section 1 of this section.

The consumer shall ask the trader to bring the goods into conformity, choosing between repair and replacement. To this end, the consumer shall make the goods available to the trader.”

Article L217-10 of the French Consumer Code:

"The goods shall be brought into conformity within a reasonable period, which may not exceed thirty days following the consumer's request and without any major inconvenience to the consumer, taking into account the nature of the goods and the use intended by the consumer.

The repair or replacement of non-conforming goods includes, where applicable, the removal and return of the goods and the installation of the repaired or replacement goods by the trader.

A decree shall specify the terms and conditions for bringing the property into compliance.”

(« La mise en conformité du bien a lieu dans un délai raisonnable qui ne peut être supérieur à trente jours suivant la demande du consommateur et sans inconvénient majeur pour lui, compte tenu de la nature du bien et de l'usage recherché par le consommateur.

La réparation ou le remplacement du bien non conforme inclut, s'il y a lieu, l'enlèvement et la reprise de ce bien et l'installation du bien réparé ou du bien de remplacement par le vendeur.

Un décret précise les modalités de la mise en conformité du bien.

Article L217-11 of the French Consumer Code: 

"The goods are brought into conformity at no cost to the consumer.

The consumer is not required to pay for the normal use made of the replaced goods during the period prior to their replacement.”

(« La mise en conformité du bien a lieu sans aucun frais pour le consommateur.

Le consommateur n'est pas tenu de payer pour l'utilisation normale qu'il a faite du bien remplacé pendant la période antérieure à son remplacement. »)

 

Article L217-12 of the French Consumer Code: 

"The trader may not proceed according to the choice made by the consumer if the compliance requested is impossible or would entail disproportionate costs, particularly with regard to:

1° The value that the goods would have had if there had been no lack of conformity;

2° The extent of the lack of conformity; and

3° The possibility of opting for the other choice without any major inconvenience for the consumer.

The trader may refuse to bring the goods into conformity if this is impossible or would entail disproportionate costs, particularly with regard to 1° and 2°.

If these conditions are not met, the consumer may, after formal notice, pursue compulsory performance in kind of the solution initially requested, in accordance with articles 1221 et seq. of the French Civil Code.

Any refusal by the trader to proceed in accordance with the consumer's choice or to bring the goods into conformity shall be justified in writing or on a durable medium".

 Le vendeur peut ne pas procéder selon le choix opéré par le consommateur si la mise en conformité sollicitée est impossible ou entraîne des coûts disproportionnés au regard notamment :

1° De la valeur qu'aurait le bien en l'absence de défaut de conformité ;

2° De l'importance du défaut de conformité ; et

3° De la possibilité éventuelle d'opter pour l'autre choix sans inconvénient majeur pour le consommateur.

Le vendeur peut refuser la mise en conformité du bien si celle-ci est impossible ou entraîne des coûts disproportionnés notamment au regard des 1° et 2°.

Lorsque ces conditions ne sont pas respectées, le consommateur peut, après mise en demeure, poursuivre l'exécution forcée en nature de la solution initialement sollicitée, conformément aux articles 1221 et suivants du code civil.

Tout refus par le vendeur de procéder selon le choix du consommateur ou de mettre le bien en conformité, est motivé par écrit ou sur support durable. »)

 

Article L217-14 of the French Consumer Code:

"The consumer is entitled to a reduction in the price of the goods or to rescission of the contract in the following cases:

1° Where the trader refuses to comply;

2° If compliance is not achieved within thirty days of the consumer's request or if it causes him a major inconvenience;

3° If the consumer definitively bears the cost of taking back or removing the non-conforming goods, or if he bears the cost of installing the repaired or replacement goods or the related costs;

4° If the non-conformity of the property persists despite the trader's unsuccessful attempt to bring it into conformity.

The consumer is also entitled to a reduction in the price of the goods or to rescission of the contract where the lack of conformity is so serious as to justify immediate reduction in the price or rescission of the contract. In such cases, the consumer is not obliged to ask for the goods to be repaired or replaced beforehand.

The consumer does not have the right to rescind the sale if the lack of conformity is minor, which is for the trader to demonstrate. This paragraph does not apply to contracts in which the consumer does not pay a price.

(« Le consommateur a droit à une réduction du prix du bien ou à la résolution du contrat dans les cas suivants :

1° Lorsque le professionnel refuse toute mise en conformité ;

2° Lorsque la mise en conformité intervient au-delà d'un délai de trente jours suivant la demande du consommateur ou si elle lui occasionne un inconvénient majeur ;

3° Si le consommateur supporte définitivement les frais de reprise ou d'enlèvement du bien non conforme, ou s'il supporte l'installation du bien réparé ou de remplacement ou les frais y afférents ;

4° Lorsque la non-conformité du bien persiste en dépit de la tentative de mise en conformité du vendeur restée infructueuse.

Le consommateur a également droit à une réduction du prix du bien ou à la résolution du contrat lorsque le défaut de conformité est si grave qu'il justifie que la réduction du prix ou la résolution du contrat soit immédiate. Le consommateur n'est alors pas tenu de demander la réparation ou le remplacement du bien au préalable.

Le consommateur n'a pas droit à la résolution de la vente si le défaut de conformité est mineur, ce qu'il incombe au vendeur de démontrer. Le présent alinéa n'est pas applicable aux contrats dans lesquels le consommateur ne procède pas au paiement d'un prix. »)

 

Article L217-15 of the French Consumer Code:

"In the cases provided for in Article L. 217-14, the consumer shall inform the trader of his decision to obtain a reduction in the price of the goods.

The reduction in price is proportional to the difference between the value of the goods delivered and the value of the goods in the absence of the lack of conformity
.

Article L217-16 of the French Consumer Code:

"In the cases provided for in article L. 217-14, the consumer shall inform the trader of his decision to cancel the contract. He shall return the goods to the trader at the latter's expense. The trader shall reimburse the consumer for the price paid and return any other benefits received under the contract.

If the lack of conformity relates only to certain goods supplied under the contract of sale, the consumer has the right to rescind the contract in respect of all the goods, even those not covered by this Chapter, if he cannot reasonably be expected to agree to keep only the goods which are in conformity.

For contracts mentioned in II of article L. 217-1, providing for the sale of goods and, on an ancillary basis, the supply of services not covered by this chapter, the consumer has the right to rescind the entire contract. In addition, in the case of a bundled offer within the meaning of article L. 224-42-2, the consumer has the right to have all related contracts rescinded.

The respective obligations of the parties to the contract, referred to in Article L.224-25-22 and relating to the consequences of termination for digital content and digital services, are applicable to termination of the contract for the sale of a good containing digital elements.
"

 (« Dans les cas prévus à l'article L. 217-14, le consommateur informe le vendeur de sa décision de résoudre le contrat. Il restitue les biens au vendeur aux frais de ce dernier. Le vendeur rembourse au consommateur le prix payé et restitue tout autre avantage reçu au titre du contrat.

Si le défaut de conformité ne porte que sur certains biens délivrés en vertu du contrat de vente, le consommateur a le droit à la résolution du contrat pour l'ensemble des biens, même ceux non couverts par le présent chapitre, si l'on ne peut raisonnablement attendre de lui qu'il accepte de garder les seuls biens conformes.

Les obligations respectives des parties au contrat, mentionnées à l'article L.224-25-22 et relatives aux conséquences de la résolution pour les contenus numériques et les services numériques, sont applicables à la résolution du contrat de vente d'un bien comportant des éléments numériques.

Article L217-17 of the French Consumer Code:

"The sums owed by the trader to the consumer under this sub-section shall be reimbursed as soon as the consumer receives the goods or proof that they have been returned, and no later than fourteen days thereafter.

The trader shall reimburse these sums using the same means of payment as the one used by the consumer to conclude the contract, unless the consumer expressly agrees otherwise and in any event at no additional cost". 

(« Le remboursement au consommateur des sommes dues par le vendeur au titre de la présente sous-section est effectué dès réception du bien ou de la preuve de son renvoi par le consommateur et au plus tard dans les quatorze jours suivants.

Le vendeur rembourse ces sommes en recourant au même moyen de paiement que celui utilisé par le consommateur lors de la conclusion du contrat, sauf accord exprès de ce dernier et en tout état de cause sans frais supplémentaire. »)

 

2          Warranty against hidden defects

The French Civil Code provides for a warranty against hidden defects in the following terms (the following constitute free translations):

 

Article 1641 of the French Civil Code:

"The seller is liable for any hidden defects in the goods sold that render them unfit for their intended use, or that impair that use to such an extent that the buyer would not have purchased them, or would have paid a lower price for them, had he or she been aware of them.”

(« Le vendeur est tenu de la garantie à raison des défauts cachés de la chose vendue qui la rendent impropre à l'usage auquel on la destine, ou qui diminuent tellement cet usage, que l'acheteur ne l'aurait pas acquise, ou n'en aurait donné qu'un moindre prix, s'il les avait connus. »)

 

Article 1643 of the French Civil Code:

"He is liable for hidden defects, even if he did not know about them, unless he has stipulated that he shall not be obliged to provide any guarantee.”

(« Il est tenu des vices cachés, quand même il ne les aurait pas connus, à moins que, dans ce cas, il n'ait stipulé qu'il ne sera obligé à aucune garantie. »)

 

Article 1644 of the French Civil Code:

"In the case of articles 1641 and 1643, the buyer has the choice of returning the thing and having the price returned to them, or keeping the thing and having part of the price returned to him.”

(« Dans le cas des articles 1641 et 1643, l'acheteur a le choix de rendre la chose et de se faire restituer le prix, ou de garder la chose et de se faire rendre une partie du prix. »)

 

Article 1645 of the French Civil Code:

"If the seller was aware of the defects, he shall be liable to the buyer for all damages in addition to restitution of the price received.”

(« Si le vendeur connaissait les vices de la chose, il est tenu, outre la restitution du prix qu'il en a reçu, de tous les dommages et intérêts envers l'acheteur. »)

 

Article 1646 of the French Civil Code:

"If the seller was unaware of the defects, he shall only be obliged to refund the price and reimburse the buyer for the costs incurred by the sale.”

(« Si le vendeur ignorait les vices de la chose, il ne sera tenu qu'à la restitution du prix, et à rembourser à l'acquéreur les frais occasionnés par la vente. »)

 

Article 1647 of the French Civil Code:

"If the good that was defective has perished as a result of its poor quality, the loss is for the trader, who shall be liable to the buyer for restitution of the price and the other damages explained in the two previous articles.

However, any loss arising from a fortuitous event shall be for the account of the buyer.

(« Si la chose qui avait des vices a péri par suite de sa mauvaise qualité, la perte est pour le vendeur, qui sera tenu envers l'acheteur à la restitution du prix et aux autres dédommagements expliqués dans les deux articles précédents.

Mais la perte arrivée par cas fortuit sera pour le compte de l'acheteur. »)

Article 1648 paragraph 1er of the Civil Code:

"Any action arising from redhibitory defects must be brought by the buyer within two years of discovery of the defect.”

 L'action résultant des vices rédhibitoires doit être intentée par l'acquéreur dans un délai de deux ans à compter de la découverte du vice. »)
